won't need the rear diff, the tran will be a direct replacement. And a 96 trans has all of the updated done to it so it should be more reliable. Just make sure the brake band is adjusted correctly before install. I can't recall the process off the top of my head so just search "brake band adjustment" or i'm sure someone will pipe in...
